Version 1.0. Effective date: October 10, 2026.
Lawzenge (operated by Nicholas Jacob), Vernon, British Columbia, Canada
PLEASE READ THIS AGREEMENT CAREFULLY TO THE END. IT AFFECTS YOUR LEGAL RIGHTS. AMONG OTHER THINGS, IT: (A) CONFIRMS THAT LAWZENGE DOES NOT PROVIDE LEGAL ADVICE AND THAT NO LAWYER-CLIENT RELATIONSHIP IS CREATED; (B) DISCLAIMS WARRANTIES AND LIMITS LAWZENGE'S LIABILITY; (C) CONTAINS A RELEASE AND WAIVER OF CLAIMS AND A PROMISE NOT TO SUE; (D) REQUIRES YOU TO INDEMNIFY LAWZENGE; (E) PROHIBITS SCRAPING, DATA HARVESTING AND AUTOMATED ACCESS; AND (F) WAIVES YOUR RIGHT TO TAKE PART IN A CLASS ACTION, TO THE FULLEST EXTENT PERMITTED BY LAW. BY CLICKING "I ACCEPT" YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, CLICK "DECLINE" AND DO NOT REGISTER OR USE THE SITE.
This Agreement is in addition to, and does not replace, the disclaimers and notices already displayed on the Site (including the disclaimers on the Argument Database, Video Database, Precedent Database, Affidavit Maker and Agency Connector pages). Those notices form part of this Agreement. If a Site notice conflicts with this Agreement, the provision that gives Lawzenge greater protection applies, to the extent permitted by law.
1.1 Lawzenge. "Lawzenge", "we", "us" and "our" mean Lawzenge, operated by Nicholas Jacob of Vernon, British Columbia, and include any business entity through which Lawzenge is now or later operated, together with its owners, directors, officers, employees, contractors, agents, successors and assigns.
1.2 The Site. "Site" means the website at lawzenge.com and its subdomains, and every feature, tool, database, page, file, communication and service made available through it, including the Argument Database, Video Database, Precedent Database, Affidavit Maker, Agency Connector, Member Directory, member profiles and member messaging (together, the "Services").
1.3 Binding agreement. This User Agreement, Terms of Use and Liability Waiver & Release (the "Agreement") is a legally binding contract between you and Lawzenge. You accept it by clicking "I Accept" during registration, or by accessing or using the Site in any way. If you register on behalf of a law firm or other organization, you confirm that you have authority to bind it, and "you" includes that organization.
1.4 Read before accepting. You confirm that you have had a full opportunity to read this Agreement, to scroll to and read its end, and to obtain independent legal advice before accepting it, and that you understand it.
In this Agreement: "Member" means a person with a registered account on the Site; "Lawyer Member" means a Member who has registered under a Lawyer plan; "Non-Lawyer Member" means a Member who has registered under a Non-Lawyer plan; "User Content" means anything a Member uploads, posts, submits, links to, enters or sends through the Site, including arguments, precedents, documents, files, video links, calendar entries, judge information, profile information, photos and messages; "Content" means all material on the Site, including User Content; and "law" includes statutes, regulations, common law, court rules, court orders and the rules and codes of conduct of any law society.
3.1 Age of majority. You must have reached the age of majority in the province or territory where you live (19 in British Columbia) and have the legal capacity to enter into a binding contract.
3.2 Canada only. The Site is intended for use in Canada, about Canadian law and Canadian courts. We make no representation that the Site is appropriate or available for use elsewhere.
3.3 Lawyer Members. If you register as a Lawyer Member, you represent and warrant that you are, and will remain while you hold a Lawyer plan, a lawyer (or articled student, where we permit it) entitled to practise law and in good standing with a Canadian law society. You must tell us promptly, and stop using lawyer-only features, if you are suspended, disbarred, cease to be entitled to practise or become subject to practice restrictions relevant to your use of the Site.
3.4 Accurate information. You must give true, accurate, current and complete information when you register and keep it up to date, including your name, email, telephone number, firm and location.
3.5 One person, one account. Your account is personal to you. You must not share your account, username, password or two-factor codes with anyone, let anyone else use your account, create an account for another person without their authority, or hold more than one account without our permission. You are responsible for everything that happens under your account and must keep your credentials secure. Tell us immediately at the contact address below if you suspect unauthorized use.
4.1 NOTHING ON THE SITE IS LEGAL ADVICE. THE SITE AND ALL CONTENT ARE PROVIDED FOR GENERAL INFORMATION, RESEARCH AND PROFESSIONAL-NETWORKING PURPOSES ONLY. NO CONTENT IS, OR SHOULD BE TREATED AS, LEGAL ADVICE OR A LEGAL OPINION ABOUT ANY PERSON'S SPECIFIC CIRCUMSTANCES. YOU MUST NOT ACT, OR REFRAIN FROM ACTING, ON THE BASIS OF ANY CONTENT WITHOUT FIRST OBTAINING ADVICE FROM A QUALIFIED LAWYER WHO HAS REVIEWED YOUR PARTICULAR SITUATION.
4.2 NO LAWYER-CLIENT RELATIONSHIP. YOUR REGISTRATION, YOUR MEMBERSHIP, YOUR USE OF THE SITE, AND ANY COMMUNICATION THROUGH THE SITE (INCLUDING MEMBER MESSAGING, THE AGENCY CONNECTOR AND THE MEMBER DIRECTORY) DO NOT CREATE A LAWYER-CLIENT, SOLICITOR-CLIENT, FIDUCIARY OR OTHER PROFESSIONAL RELATIONSHIP BETWEEN YOU AND: (A) LAWZENGE; (B) NICHOLAS JACOB, PERSONALLY OR IN HIS CAPACITY AS A LAWYER; OR (C) ANY OTHER MEMBER. Nicholas Jacob operates the Site as a business and does not act as your lawyer through it. Any lawyer-client relationship with any lawyer, including a Member, can only arise through a separate retainer made directly between you and that lawyer, outside the Site, and Lawzenge is not a party to and is not responsible for it.
4.3 No referral service. Lawzenge is not a lawyer referral service and does not recommend, endorse, vouch for or guarantee the competence, qualifications, availability, integrity or good standing of any Member.
4.4 Non-Lawyer Members. If you are not a lawyer, you acknowledge that legal arguments, precedents, templates and other Content are complex, may not fit your circumstances, and may be misleading or harmful if relied on without a lawyer's advice. You use the Site entirely at your own risk.
5.1 Not vetted. Most Content is uploaded by Members. LAWZENGE DOES NOT REVIEW, VET, EDIT, VERIFY OR APPROVE USER CONTENT BEFORE OR AFTER IT IS POSTED, and is under no obligation to do so. Arguments, precedents, documents, templates, summaries, video links, court information, calendar entries and judge information may be inaccurate, incomplete, out of date, overturned, distinguished, superseded by legislation or court rules, specific to one jurisdiction, or simply wrong.
5.2 Verify independently. You must independently verify all Content, including the current status of every case, statute, regulation, rule and practice direction, against official and authoritative sources before relying on it, citing it, filing it or giving advice based on it.
5.3 No duty to update. We have no obligation to update, correct or remove any Content, and the Site may contain errors, omissions or interruptions.
If you are a lawyer, you remain solely responsible for complying with your professional, ethical and legal obligations, including under the rules and code of conduct of your law society (for example, the Law Society of British Columbia's Code of Professional Conduct for British Columbia and Law Society Rules). This includes your duties of competence, independent professional judgment, confidentiality and privilege, conflicts of interest, supervision, candour to the court, proper delegation to and supervision of agents, client communication, and record-keeping. Using the Site, or any Content or Member found through it, does not reduce or transfer any of those obligations to Lawzenge, Nicholas Jacob or any other Member. You must exercise your own professional judgment about all Content and about any agent you engage.
7.1 Plans. The membership plans, prices, features, trial periods and billing terms shown on the Site's Membership and registration pages at the time you register (the "Plan Terms") form part of this Agreement. At the effective date of this version, the plans are a Lawyer plan at $19.99 CAD per month (which includes access to the Agency Connector) and a Non-Lawyer plan at $9.99 CAD per month (which does not include the Agency Connector), each with a free trial period (currently six months) for eligible new Members. If the Plan Terms conflict with this section, the Plan Terms govern.
7.2 Currency and taxes. All prices are in Canadian dollars. Prices do not include applicable taxes (such as GST/HST and PST) unless stated, and you agree to pay any taxes that apply.
7.3 Payment. Payments are processed by a third-party payment processor. By registering for a paid plan, you authorize us and our processor to charge your chosen payment method for all fees and taxes when due. Lawzenge does not store your full card number. You are responsible for keeping your payment information current.
7.4 Free trial and automatic renewal. UNLESS YOU CANCEL BEFORE YOUR FREE TRIAL ENDS, YOUR MEMBERSHIP WILL AUTOMATICALLY CONVERT TO A PAID MEMBERSHIP AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT PLAN FEE AT THE END OF THE TRIAL, AND THEN AUTOMATICALLY EACH BILLING PERIOD (CURRENTLY MONTHLY) UNTIL YOU CANCEL. One free trial per person unless we agree otherwise.
7.5 Cancellation. You may cancel at any time from your Account page or by contacting us. Cancellation takes effect at the end of the current trial or billing period, and you keep access until then. Except where required by law or stated in the Plan Terms, fees are non-refundable and we do not give refunds or credits for partial periods or unused features.
7.6 Price and plan changes. We may change plan prices, features or terms on reasonable advance notice (at least 30 days for price increases) by email or on the Site. The change applies from your next billing period after the notice period. If you do not agree, you may cancel before the change takes effect.
7.7 Plan eligibility. You must choose the plan that fits you. Lawyer-only features are only for Lawyer Members who meet section 3.3. We may move you to the correct plan, or suspend lawyer-only features, if you do not qualify.
8.1 You own your User Content. You keep any ownership rights you have in your User Content.
8.2 Licence to Lawzenge. You grant Lawzenge a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, store, copy, reproduce, format, display, distribute to Members, back up, and otherwise use your User Content for the purpose of operating, providing, securing, promoting and improving the Site, for as long as it remains on the Site and for a reasonable period afterwards (for backups and legal records). You waive any moral rights in your User Content to the extent needed for these purposes.
8.3 Licence to other Members. You grant each other Member a non-exclusive, royalty-free licence to view, download and use your shared User Content (other than messages) for their own legal research, education and practice, but not to resell, republish publicly or distribute it outside the Site, or use it in breach of this Agreement.
8.4 Your promises about User Content. For all User Content, you represent, warrant and agree that:
(a) you own it or have all rights, licences, consents and permissions needed to upload it and grant the licences above;
(b) it does not infringe anyone's copyright, trademark, privacy or other rights;
(c) it does not contain information protected by solicitor-client privilege, litigation privilege or a duty of confidentiality (including client names, identifying details, instructions or confidential facts), unless you have the client's informed authority and doing so is consistent with your professional obligations; you must anonymize client and third-party information where appropriate;
(d) it does not include any material that is sealed, subject to a sealing order, filed under seal, or otherwise restricted from public access by a court or tribunal;
(e) it complies with every publication ban, non-publication order, non-disclosure order and statutory restriction that applies, including bans under the Criminal Code (such as sections 486.4, 486.5, 517, 539, 542 and 648, and similar provisions), and does not identify any victim, witness, complainant, justice system participant or other person whose identity is protected;
(f) it complies with the Youth Criminal Justice Act, including the prohibition on publishing information that would identify a young person dealt with under that Act, or a young victim or witness;
(g) it complies with all applicable privacy and data protection laws, including the Personal Information Protection Act (British Columbia) ("PIPA"), the Personal Information Protection and Electronic Documents Act (Canada) ("PIPEDA"), and any other provincial privacy law that applies to you, and you have any consents those laws require to disclose personal information about others;
(h) it is not defamatory, harassing, threatening, hateful, obscene, discriminatory, misleading or otherwise unlawful, and does not contain malware or harmful code;
(i) it does not breach any court order, undertaking, contract, employment obligation or law society rule; and
(j) any document you upload as a precedent or argument is a true copy of what it claims to be, or is clearly labelled as a draft, summary or template.
8.5 You are responsible. You are solely responsible for your User Content and for the consequences of posting it. Lawzenge does not assume responsibility for User Content and is not liable for any User Content.
8.6 Removal and takedown. We may, but need not, review, refuse, edit, disable or remove any User Content, or suspend access to it, at any time and for any reason or no reason, without notice. If you believe Content infringes your rights, breaches a publication ban or sealing order, discloses privileged or personal information, or is otherwise unlawful, contact us at the address in section 26 with the page link, a description of the problem and your contact details. We will review notices promptly and may remove Content while we do so. Members may delete their own arguments, precedents and similar User Content using the tools provided, but copies may remain in backups, in other Members' downloads and in our records.
8.7 Copyright notices. Lawzenge will handle copyright notices in a manner consistent with the notice-and-notice regime of the Copyright Act (Canada) where it applies, and may also remove allegedly infringing Content.
9.1 Documents, arguments, precedents and video links in these databases are User Content (or third-party material) and are subject to sections 4, 5 and 8. Video links point to third-party platforms that Lawzenge does not control.
9.2 Downloading a document does not transfer ownership of it. You may use downloaded documents only as permitted by section 8.3. You are responsible for adapting any document to your matter and for its accuracy when used.
9.3 Files are not scanned or verified for accuracy. Although we take reasonable security measures, you are responsible for using up-to-date security software when opening downloaded files.
10.1 Lawyer Members only. The Agency Connector is available only to Lawyer Members. It lets lawyers indicate when they expect to be in particular courthouses and courtrooms so other lawyers can contact them about appearing as agent.
10.2 No guarantee of availability. Calendar entries are posted by Members and are indications only. LAWZENGE DOES NOT GUARANTEE THAT ANY MEMBER WILL BE PRESENT, AVAILABLE, WILLING OR ABLE TO ACT AS AGENT, OR THAT ANY CALENDAR ENTRY, CONTACT DETAIL, COURTHOUSE, COURTROOM OR SCHEDULE INFORMATION IS ACCURATE OR CURRENT. Court lists, courtroom assignments and sitting times change, and you must confirm them with the court registry or official sources.
10.3 Judge information is user-supplied. Judge names and related information shown in the Agency Connector are supplied by Members, are not verified by Lawzenge, and may be wrong or out of date. They must not be used for any improper purpose, including any attempt to choose a judge or to influence any judicial officer.
10.4 Agency arrangements are between lawyers. Any agency arrangement is made directly between the instructing lawyer and the agent, outside the Site and on terms they agree. Lawzenge is not a party to it, does not supervise it, does not handle fees between lawyers, and is not responsible for any act, omission, fee, missed appearance, conflict, error or misconduct of any lawyer. Each lawyer remains fully responsible for their professional obligations, including obtaining client instructions and consent, checking conflicts, protecting confidential information, giving proper instructions and supervising the agent, and the agent remains responsible for their own conduct and competence.
10.5 Contact details. Contact information you publish in the Agency Connector or your profile may be seen by other Members. Members may use it only to contact you about legitimate professional matters, and never for marketing, solicitation, spam or any purpose prohibited by section 12.
11.1 Templates only. The Affidavit Maker is a document-formatting tool that provides general templates. It does not give legal advice, does not decide what an affidavit should say, and does not check whether a document meets the requirements of any court, rule or form.
11.2 You are responsible. You are solely responsible for the content, accuracy, truthfulness, completeness and format of every document you create, and for ensuring it complies with the applicable court rules, forms and practice directions. An affidavit is sworn or affirmed evidence; making a false affidavit can be a criminal offence. Anyone swearing or affirming an affidavit must read it, understand it and confirm it is true.
11.3 Not a commissioner. Lawzenge is not a commissioner for taking affidavits, notary public or lawyer for anyone using the Affidavit Maker. Documents must be sworn or affirmed before a person authorized to administer oaths and affirmations, in the manner required by law.
11.4 Your data. Do not rely on the Site to store your documents. Keep your own copies. Information typed into the Affidavit Maker may be processed in your browser or on our servers; do not enter more confidential information than is necessary.
12.1 Directory. The Member Directory and profiles display information Members choose to provide. Lawzenge does not verify it. You may use another Member's contact information only to contact that Member individually about legitimate professional matters. You must not copy, compile, export or use directory or profile information for marketing, solicitation, spam, sale, building lists or databases, or any purpose that would breach privacy laws or Canada's Anti-Spam Legislation (CASL).
12.2 Messaging is not confidential or secure. Member messaging is provided for convenience. LAWZENGE DOES NOT GUARANTEE THE CONFIDENTIALITY, SECURITY, DELIVERY, TIMELINESS OR PRESERVATION OF ANY MESSAGE. Messages are stored on our servers and may be accessible to Lawzenge's administrators and service providers for operation, security, legal compliance and enforcement of this Agreement. Email notifications may be sent through third-party services.
12.3 Do not send privileged or confidential information. You must not use messaging to send privileged or confidential client information, sensitive personal information, or documents subject to a publication ban or sealing order. Use a secure channel outside the Site for confidential communications. Communicating through messaging does not create a lawyer-client relationship with anyone.
12.4 Not monitored. Lawzenge does not monitor messages in the ordinary course and is not responsible for their content. We may review, retain or delete messages to investigate complaints, protect security or enforce this Agreement, and may disclose them where required by law.
You must not, and must not help or allow anyone else to:
(a) use the Site for any unlawful, fraudulent or improper purpose, or in breach of any law, court order or law society rule;
(b) harass, threaten, abuse, defame, impersonate or discriminate against anyone, or misrepresent your identity, credentials or affiliation;
(c) post or send spam, chain letters, unsolicited commercial messages or advertising;
(d) upload or transmit viruses, malware or other harmful code;
(e) interfere with, disrupt, overload or attempt to gain unauthorized access to the Site, its servers or networks, or other Members' accounts;
(f) probe, scan or test the vulnerability of the Site or breach any security or authentication measure (except with our prior written permission);
(g) use the Site to solicit clients from other Members in a manner that breaches law society rules, or to poach Members' clients;
(h) collect or store personal information about other Members except as permitted by section 12.1; or
(i) use the Site in any way that could expose Lawzenge or any Member to liability or damage the reputation of Lawzenge.
14.1 Prohibited activities. The Site, its databases and the information about its Members are valuable compilations protected by law and by this Agreement. Access is permitted only to individual Members, personally, through a standard web browser or the official interfaces we provide, for their own use. WITHOUT OUR PRIOR EXPRESS WRITTEN CONSENT, YOU MUST NOT, DIRECTLY OR INDIRECTLY:
(a) scrape, crawl, spider, index, mirror, frame or cache any part of the Site;
(b) use any robot, bot, script, macro, browser extension, headless browser, automated agent, artificial intelligence agent, or other automated or manual process to access, monitor, query, extract, copy or download Content or data from the Site;
(c) engage in data mining, data harvesting, data extraction or similar activities;
(d) harvest, collect, compile, copy, export or store names, email addresses, telephone numbers, cell numbers, firm details, photos, calendar entries, judge information or any other information about Members or other persons;
(e) bulk-download, systematically download or download more Content than is reasonably needed for your own individual legal research or practice;
(f) use any Content to train, fine-tune, test, prompt, ground or improve any artificial intelligence, machine learning or large language model, or to build any dataset, database, index or competing product or service;
(g) copy, reproduce, republish, resell, sublicense, rent, distribute, transmit or commercially exploit any Content or any part of the Site, or make it available to non-Members;
(h) reverse engineer, decompile, disassemble or attempt to discover the source code, structure or underlying databases of the Site, except to the extent that this restriction is prohibited by law;
(i) circumvent, disable, bypass or interfere with any access control, login, paywall, rate limit, security feature, robots.txt instruction or technical measure, or access any part of the Site you are not authorized to access;
(j) share, sell, lend or disclose your account, password or login credentials, or access the Site using another person's account; or
(k) use any proxy, VPN or other method to disguise your identity or location for the purpose of doing anything in this section.
14.2 Monitoring and blocking. We may monitor use of the Site to detect breaches of this section and may block, rate-limit, suspend or terminate any account, device or IP address, without notice or refund.
15.1 Irreparable harm and injunctions. You agree that a breach of section 14, or of sections 12.1 or 13(h), would cause Lawzenge and its Members irreparable harm that cannot adequately be compensated by damages. In addition to any other remedy, Lawzenge is entitled to an interim, interlocutory and permanent injunction, specific performance and other equitable relief to restrain or remedy any actual or threatened breach, without having to prove actual damage and, to the extent permitted by law, without posting a bond or other security.
15.2 Liquidated damages. Because the harm caused by harvesting Member information and Content is difficult to measure, you agree that, as a genuine pre-estimate of Lawzenge's loss and not as a penalty, you will pay Lawzenge liquidated damages of $100 CAD for each Member profile, contact record, calendar entry, document or other item of Content accessed, copied, extracted or harvested in breach of section 14. This does not limit Lawzenge's right to injunctive relief, to recover its actual damages where they are greater, to an accounting of profits, or to any other remedy.
15.3 Costs. You will reimburse Lawzenge for all reasonable costs it incurs in investigating and enforcing a breach of sections 12 to 14, including legal fees on a full-indemnity (solicitor-and-own-client) basis, to the extent permitted by law.
15.4 Other rights. Unauthorized access may also be an offence under the Criminal Code (including section 342.1) and may infringe copyright and other rights. Lawzenge may report it to law enforcement and to the relevant law society.
16.1 The Site, its design, software, code, text, graphics, logos, the "Lawzenge" name and marks, the selection, arrangement and compilation of Content, and all Content other than User Content, are owned by or licensed to Lawzenge and are protected by copyright, trademark and other laws. Subject to this Agreement, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to access and use the Site for your own legal research, education and practice while your membership is active. All rights not expressly granted are reserved.
16.2 If you send us feedback or suggestions, we may use them freely without obligation to you.
We collect, use and disclose personal information in accordance with our Privacy Policy, as updated from time to time, and applicable privacy laws including PIPA and PIPEDA. By registering, you consent to that collection, use and disclosure, including: displaying your profile, contact information and calendar entries to other Members as described on the Site; processing payments; sending you account and service emails; and keeping a record of your acceptance of this Agreement (including your name, username, email, plan, date and time, IP address, browser information and the version of the Agreement you accepted). You are responsible for the personal information you choose to make visible to other Members.
The Site may link to or rely on third-party websites and services (such as video platforms, payment processors, email providers and hosting providers). Lawzenge does not control and is not responsible for them, their content, their availability or their privacy practices. Your use of them is at your own risk and subject to their terms.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS", WITHOUT ANY REPRESENTATION, WARRANTY, CONDITION OR GUARANTEE OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. LAWZENGE EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, RELIABILITY, AVAILABILITY, SECURITY, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY WARRANTIES OR CONDITIONS UNDER THE SALE OF GOODS ACT (BRITISH COLUMBIA) OR SIMILAR LAWS. LAWZENGE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR FILES ARE FREE OF VIRUSES OR HARMFUL COMPONENTS, THAT DATA WILL NOT BE LOST, OR THAT ANY CONTENT, MEMBER OR AGENT IS ACCURATE, QUALIFIED, RELIABLE OR AVAILABLE.
YOU EXPRESSLY UNDERSTAND, ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SITE, YOUR RELIANCE ON ANY CONTENT, YOUR DEALINGS WITH OTHER MEMBERS (INCLUDING ANY AGENCY ARRANGEMENT), YOUR USE OF THE AFFIDAVIT MAKER, AND ANY DOCUMENT YOU DOWNLOAD, PREPARE, FILE OR SWEAR, ARE ENTIRELY AT YOUR OWN RISK. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THEM, KNOWN AND UNKNOWN, INCLUDING THE RISK OF INACCURATE, OUTDATED OR INCOMPLETE CONTENT, MISSED APPEARANCES OR DEADLINES, ADVERSE COURT RESULTS, COSTS AWARDS, LOSS OF DATA, DISCLOSURE OF INFORMATION, PROFESSIONAL DISCIPLINE OR NEGLIGENCE CLAIMS, AND THE ACTS AND OMISSIONS OF OTHER MEMBERS AND THIRD PARTIES.
21.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LAWZENGE, NICHOLAS JACOB, OR THEIR RESPECTIVE AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUCCESSORS OR ASSIGNS (THE "LAWZENGE PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR AGGRAVATED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CLIENTS, GOODWILL, REPUTATION, DATA OR OPPORTUNITY, OR ANY COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SITE, ANY CONTENT, ANY MEMBER OR ANY AGENCY ARRANGEMENT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, STRICT LIABILITY, FUNDAMENTAL BREACH OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
21.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE LAWZENGE PARTIES FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SITE WILL NOT EXCEED THE GREATER OF (A) THE MEMBERSHIP FEES YOU ACTUALLY PAID TO LAWZENGE IN THE SIX (6) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) FIFTY CANADIAN DOLLARS ($50 CAD).
21.3 THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THEY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND LAWZENGE. LAWZENGE WOULD NOT PROVIDE THE SITE AT THE CURRENT PRICES WITHOUT THEM.
21.4 Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or, where the law does not allow it to be excluded, for gross negligence, wilful misconduct, or death or personal injury caused by negligence.
22.1 RELEASE AND WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, IN CONSIDERATION OF BEING GIVEN ACCESS TO THE SITE, YOU, ON BEHALF OF YOURSELF AND YOUR HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS, ASSIGNS, FIRM, EMPLOYER AND INSURERS, HEREBY RELEASE, WAIVE, DISCHARGE AND FOREVER GIVE UP ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, LOSSES, DAMAGES, COSTS AND LIABILITIES OF EVERY KIND, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, THAT YOU HAVE OR MAY LATER HAVE AGAINST ANY OF THE LAWZENGE PARTIES ARISING OUT OF OR RELATING TO: (A) YOUR ACCESS TO OR USE OF THE SITE OR ANY CONTENT; (B) ANY RELIANCE ON CONTENT, INCLUDING ANY ARGUMENT, PRECEDENT, VIDEO, TEMPLATE, AFFIDAVIT, COURT OR JUDGE INFORMATION; (C) ANY USER CONTENT OR THE CONDUCT OF ANY MEMBER OR THIRD PARTY, INCLUDING ANY AGENT OR INSTRUCTING LAWYER FOUND THROUGH THE SITE; (D) ANY MESSAGE OR DISCLOSURE OF INFORMATION THROUGH THE SITE; OR (E) ANY INTERRUPTION, ERROR, LOSS OF DATA OR SECURITY INCIDENT, INCLUDING CLAIMS BASED ON THE NEGLIGENCE OF ANY LAWZENGE PARTY.
22.2 COVENANT NOT TO SUE. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE NOT TO START, MAINTAIN, OR ASSIST IN ANY LAWSUIT, ACTION, CLAIM, COMPLAINT OR PROCEEDING AGAINST ANY LAWZENGE PARTY IN RESPECT OF ANY MATTER RELEASED IN SECTION 22.1. IF YOU DO, YOU AGREE THAT THIS AGREEMENT MAY BE PLEADED AS A COMPLETE DEFENCE AND THAT YOU WILL PAY THE LAWZENGE PARTIES' REASONABLE LEGAL FEES AND COSTS OF DEFENDING IT.
22.3 Claims against other Members. Disputes between Members are solely between those Members. Lawzenge has no obligation to become involved in them, and the release in section 22.1 includes any claim against a Lawzenge Party arising from such a dispute.
22.4 Limits. This section 22 does not release claims that cannot lawfully be released, including claims for fraud or, where the law does not allow it, for gross negligence or wilful misconduct, and does not affect any non-waivable rights you have under consumer protection law. If any part of this release is held unenforceable, the rest remains in effect and section 21 continues to apply.
You agree to defend, indemnify and hold harmless the Lawzenge Parties from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or relating to: (a) your User Content; (b) your use or misuse of the Site or any Content; (c) your breach of this Agreement or of any law, court order, publication ban, privacy law or law society rule; (d) any agency arrangement or other dealing between you and any Member or third party; (e) any infringement of a third party's rights by you or anyone using your account; and (f) any claim by your clients or former clients relating to your use of the Site. We may take exclusive control of the defence of any matter subject to indemnity, at your cost, and you will cooperate with us.
24.1 By you. You may close your account at any time by cancelling your membership and contacting us.
24.2 By us. We may suspend, restrict or terminate your account or access to all or part of the Site, with or without notice, if we believe you have breached this Agreement, do not meet the eligibility requirements, have provided false information, have failed to pay fees, pose a risk to the Site or other Members, or for any other reason on reasonable notice. If we terminate for breach, you are not entitled to any refund.
24.3 Effect. On termination your licence to use the Site ends immediately. We may delete or retain your account data and User Content as described in our Privacy Policy and as required for legal, security and record-keeping purposes, including the record of your acceptance of this Agreement. We may keep User Content you shared that other Members have already downloaded.
24.4 Survival. Sections 4, 5, 6, 8.2 (for the period stated), 8.4, 8.5, 12, 14, 15, 16, 19 to 23, 24, 25 and 27 to 29, and any other provision that by its nature should survive, survive the end of this Agreement and of your membership.
25.1 Governing law. This Agreement, and any dispute arising out of or relating to it or the Site, is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25.2 Exclusive jurisdiction. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of British Columbia, sitting in or nearest to Vernon, British Columbia where the court's rules permit, and you waive any objection to those courts on the basis of venue or inconvenient forum. However, Lawzenge may seek injunctive or other urgent relief in any court of competent jurisdiction.
25.3 NO CLASS ACTIONS. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM YOU HAVE AGAINST ANY LAWZENGE PARTY MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION, REPRESENTATIVE OR COLLECTIVE PROCEEDING, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN SUCH A PROCEEDING.
25.4 Time limit. To the extent permitted by law, any claim against a Lawzenge Party must be started within one (1) year after the facts giving rise to it were discovered or ought reasonably to have been discovered.
Questions, takedown notices and other notices to Lawzenge must be sent to: Lawzenge (operated by Nicholas Jacob), Vernon, British Columbia, Canada; email: nick@nicholasjacob.ca. Notices are effective when received. We may give notices to you by email to the address in your account, by message on the Site, or by posting on the Site, and you agree that email notice is sufficient.
27.1 Electronic signature. You agree that clicking "I Accept" (after scrolling through this Agreement) is your electronic signature, intended to sign this Agreement, and has the same legal effect as a handwritten signature, in accordance with the Electronic Transactions Act (British Columbia) and other applicable laws. You consent to entering into this Agreement, and receiving related documents and notices, electronically.
27.2 Records. Lawzenge will keep an electronic record of your acceptance, including your name, username, email address, plan, the date and time (Pacific time and UTC), your IP address, your browser's user-agent information, the version number of this Agreement and a digital fingerprint (SHA-256 hash) and complete copy of the text you accepted. You agree that this record is admissible and is evidence of your acceptance and of the terms you accepted. You may ask us for a copy of the version you accepted.
We may amend this Agreement from time to time. We will post the amended version on the Site with a new version number and effective date, and give you notice of material changes by email or on the Site. We may require you to review and accept the amended Agreement (for example, when you next log in) before you can continue using the Site. If you do not accept an amended Agreement, you must stop using the Site and may cancel your membership. Unless the law requires otherwise, your continued use of the Site after an amendment takes effect also means you accept it. Changes will not apply retroactively to disputes that arose before the change.
29.1 Entire agreement. This Agreement (including the Plan Terms, the Privacy Policy and the Site notices referred to in it) is the entire agreement between you and Lawzenge about the Site and supersedes all prior understandings about its subject matter.
29.2 Severability. If any provision of this Agreement is held invalid, illegal or unenforceable, it will be enforced to the maximum extent permitted and read down or severed as necessary, and the remaining provisions remain in full force and effect.
29.3 No waiver. Our failure or delay in enforcing any right is not a waiver of it. A waiver is only effective if it is in writing and signed by us.
29.4 Assignment. You may not assign or transfer this Agreement or your account without our written consent. We may assign this Agreement, in whole or in part, including to any entity that acquires or operates the Site or to a corporation incorporated to carry on the Lawzenge business, without your consent.
29.5 Force majeure. We are not responsible for any delay or failure caused by events beyond our reasonable control, including outages, cyber-attacks, failures of hosting, payment or internet providers, labour disputes, natural disasters, pandemics or government action.
29.6 Relationship. Nothing in this Agreement creates a partnership, joint venture, agency, employment or fiduciary relationship between you and Lawzenge.
29.7 Interpretation. Headings are for convenience only. "Including" means "including without limitation". Words in the singular include the plural and vice versa. A reference to a statute includes its regulations and any amendment or replacement.
29.8 Language. The parties have expressly required that this Agreement and all related documents be drawn up in English. Les parties ont expressément exigé que la présente convention et tous les documents connexes soient rédigés en anglais.
29.9 Your statutory rights. If you are a consumer, you may have rights under consumer protection laws (including the Business Practices and Consumer Protection Act (British Columbia)) that cannot be waived or limited by contract. Nothing in this Agreement is intended to exclude or limit those rights, and this Agreement is to be read so as to give effect to them.
BY CLICKING "I ACCEPT", YOU CONFIRM THAT: (A) YOU HAVE READ THIS ENTIRE AGREEMENT TO THE END AND UNDERSTAND IT; (B) YOU UNDERSTAND THAT LAWZENGE DOES NOT PROVIDE LEGAL ADVICE AND THAT NO LAWYER-CLIENT RELATIONSHIP IS CREATED WITH LAWZENGE, NICHOLAS JACOB OR ANY MEMBER; (C) YOU UNDERSTAND THAT YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE LAWZENGE PARTIES, TO THE FULLEST EXTENT PERMITTED BY LAW; (D) YOU AGREE NOT TO SCRAPE, HARVEST OR AUTOMATICALLY ACCESS THE SITE; (E) YOU HAVE HAD THE OPPORTUNITY TO OBTAIN INDEPENDENT LEGAL ADVICE; AND (F) YOU ACCEPT THIS AGREEMENT FREELY AND VOLUNTARILY AND INTEND TO BE LEGALLY BOUND BY IT.
